1. Agreement to Terms

By accessing or using managed.bot ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

The Service is operated by Lucido LLC ("Company," "we," "us," or "our"), a Florida limited liability company.

2. Description of Service

managed.bot provides managed hosting services for Clawdbot, a personal AI assistant. We provide:

  • Secure, isolated hosting infrastructure for your Clawdbot instance
  • Automatic security updates and patches
  • 24/7 monitoring and maintenance
  • Data backup and recovery services
  • Technical support

managed.bot is an independent service and is not officially affiliated with the Clawdbot project.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

4. Account Registration

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the security of your account credentials
  • You must notify us immediately of any unauthorized access to your account
  • You are responsible for all activities that occur under your account

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Transmit malware, viruses, or other malicious code
  • Engage in harassment, abuse, or harmful conduct
  • Generate or distribute illegal content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Use the Service for cryptocurrency mining
  • Resell or redistribute the Service without authorization

We reserve the right to suspend or terminate accounts that violate these terms.

6. Payment and Billing

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We reserve the right to change pricing with 30 days notice
  • Failure to pay may result in suspension or termination of your account
  • You are responsible for any applicable taxes

7. Service Availability

  • We target 99.9% uptime but do not guarantee uninterrupted service
  • We may perform scheduled maintenance with reasonable notice
  • We are not liable for downtime caused by factors outside our control
  • Service credits may be available for extended outages per our SLA (provided separately to paying customers)

8. Your Data

  • You retain all rights to your data
  • You grant us a limited license to host and process your data solely to provide the Service
  • We do not access your assistant conversations except as necessary for technical support (with your permission) or legal compliance
  • You are responsible for backing up any data you cannot afford to lose
  • Upon account termination, your data will be deleted within 30 days

9. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Lucido LLC and is protected by copyright, trademark, and other intellectual property laws.

Clawdbot is a separate project with its own licensing terms. Your use of Clawdbot through our Service is subject to Clawdbot's applicable licenses.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. You use the Service at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUCIDO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers or your data
  • Any interruption or cessation of the Service
  • Any bugs, viruses, or other harmful code transmitted through the Service

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Lucido LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

13. Termination

  • You may terminate your account at any time through account settings or by contacting us
  • We may suspend or terminate your account for violation of these Terms
  • We may discontinue the Service with 90 days notice
  • Upon termination, your right to use the Service ceases immediately
  • Sections regarding intellectual property, disclaimers, limitations of liability, and indemnification survive termination

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Pinellas County, Florida.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
